Welcome to Locale Terroir. These Terms of Use (Terms) govern your access to and use of the website at localeterroir.com and any related services, features, and content (the Site). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site. The Site is currently operated by Ana Huson, doing business as Locale Terroir, as a sole proprietorship, with the intent to transition to a California limited liability company prior to commercial launch (Locale Terroir, we, us, or our).
By accessing or using the Site in any way — browsing, submitting forms, creating an account, subscribing to a listing program, or otherwise interacting with our content — you agree to these Terms and our Privacy Policy. If you are using the Site on behalf of a business or organization, you represent that you have authority to bind that entity, and you means both you and that entity.
Locale Terroir is a curated editorial guide covering restaurants, wineries, and related businesses in Northern California. All ratings, distinctions, classifications, badges, and editorial commentary reflect the subjective editorial judgment of Locale Terroir and its Advisory Board. They are opinions, not statements of fact, and are not guarantees of quality, safety, or any other outcome. Inclusion or exclusion of a business, and the distinctions or classifications assigned to it, are at the sole editorial discretion of Locale Terroir.
3.1 Our Content: all content on the Site — editorial writing, commissioned photography, graphics, logos, design, and the overall look and feel — is owned by or licensed to Locale Terroir and protected by intellectual property law. You may not copy, reproduce, distribute, publish, or create derivative works from our content without our prior written permission. 3.2 Submitted Content: restaurants, wineries, and other businesses may submit content for publication; submission terms are governed by the Advertising & Listing Agreement. 3.3 Fair Use and Editorial Commentary: Locale Terroir may reference third-party trademarks and awards (such as Michelin stars or James Beard recognition) descriptively, in an editorial capacity, without implying endorsement or affiliation.
You may use the Site for personal, non-commercial purposes such as discovering restaurants and wineries, reading editorial content, and subscribing to listing programs on behalf of a business you operate or represent. You agree not to: scrape, crawl, or harvest content using automated means without our prior written consent; resell, sublicense, or redistribute any portion of the Site or its content; reverse-engineer, decompile, or gain unauthorized access to any portion of the Site; transmit malware, spam, or content that is unlawful, infringing, defamatory, or misleading; impersonate any person or business or misrepresent your affiliation; or interfere with the normal operation of the Site or others' use of it.
Certain features — including paid listing programs — may require you to register an account or provide contact information. You agree to provide accurate, current information and keep it up to date. You are responsible for the confidentiality of your login credentials and for all activity under your account. Notify us immediately if you believe your account has been compromised.
Locale Terroir offers paid listing programs to wineries and, from time to time, other businesses, governed by the Advertising & Listing Agreement, which you must accept at the time of subscription. In the event of a conflict between these Terms and the Advertising & Listing Agreement, the Advertising & Listing Agreement controls with respect to the paid services it covers.
The Site may link to third-party websites, reservation platforms, ordering services, or other services we do not operate. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to that party's terms.
The Site and all content are provided as is and as available, without warranties of any kind. To the fullest extent permitted by law, Locale Terroir disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. We do not warrant that restaurant or winery information (hours, menus, prices, availability) is current — confirm directly with the business.
To the fullest extent permitted by law, Locale Terroir and its owners, employees, contributors, and advisors are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Total aggregate liability will not exceed the greater of (a) the amounts you paid Locale Terroir in the 12 months preceding the claim, or (b) USD $100. Some jurisdictions do not allow certain limitations, so some may not apply to you.
You agree to defend, indemnify, and hold harmless Locale Terroir and its owners, employees, contributors, and advisors from claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Site, (b) your violation of these Terms, (c) content you submit, or (d) your violation of any third-party right.
We may suspend or terminate your access at any time, for any reason, with or without notice. You may stop using the Site at any time. The Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law sections survive termination.
These Terms are governed by California law, without regard to conflict-of-laws principles. Disputes will be resolved exclusively in the state or federal courts located in Sonoma County, California, and you consent to personal jurisdiction there. Attorney note: consider whether to add a mandatory arbitration clause and/or class-action waiver — to be discussed with counsel.
We may update these Terms. Material changes will be posted with a new Last updated date and, where appropriate, registered users notified by email. Continued use after changes take effect constitutes acceptance.
